Terms of Service

1. Introduction

Welcome to Partsemble. By accessing or using our service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use Partsemble.

These Terms apply to all users of Partsemble, including those on free trials and paid plans.

2. Service Description

Partsemble is an assembly accounting tool that helps small manufacturers track builds, manage bills of materials (BOMs), and sync inventory with accounting systems like QuickBooks Online.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Partsemble in accordance with these Terms for your internal business purposes.

Features evolve over time as we improve the product. Occasional maintenance windows may occur, and while we aim for high availability, we do not guarantee uninterrupted service.

3. User Accounts

To use Partsemble, you must create an account by providing accurate and complete information. You are responsible for:

  • Keeping your login credentials confidential
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use at support@partsemble.com

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe pose a risk to the service or other users.

4. Free Trial

New users may be eligible for a free trial of Partsemble. During the trial:

  • You have access to the features included in your selected plan
  • No payment method is required to start a trial
  • When your trial ends, you will need to subscribe to a paid plan to continue using the service
  • If you do not subscribe, your account will be placed in a read-only state — your data is preserved but you cannot create new builds, sync inventory, or export to your accounting system
  • We reserve the right to modify or discontinue free trial offers at any time

5. Acceptable Use

You agree not to:

  • Use Partsemble for any illegal purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the service or its infrastructure
  • Resell, sublicense, or redistribute access to Partsemble without written permission
  • Reverse engineer, decompile, or attempt to extract the source code of the service
  • Use the service to transmit spam, malware, or other harmful content
  • Interfere with or disrupt the integrity or performance of the service

All content you upload or create within Partsemble remains yours. You grant us a limited license to store and process it solely for the purpose of providing the service.

6. Third-Party Integrations

Partsemble integrates with third-party accounting systems, including QuickBooks Online by Intuit. By connecting your accounting system:

  • You authorize Partsemble to access your accounting data via OAuth 2.0, including inventory items, accounts, and company information
  • Partsemble reads item data to sync your inventory and writes inventory adjustment transactions when you export builds
  • You can disconnect your accounting system at any time from your Partsemble settings, which revokes Partsemble's access
  • Your use of connected third-party services is also subject to their own terms of service and privacy policies
  • We do not store your accounting system credentials — authentication is handled via secure OAuth tokens

Partsemble is not affiliated with or endorsed by Intuit, QuickBooks, or any other third-party accounting provider.

7. Payment & Billing

Paid plans are billed monthly. By subscribing, you authorize us to charge your payment method on a recurring basis.

  • Free trial: If your plan includes a free trial, you will not be charged until the trial ends and you subscribe. No payment method is required during the trial period
  • Pricing changes: We will provide at least 30 days' notice before increasing prices for existing subscribers
  • Cancellation: You may cancel your subscription at any time. Your plan remains active until the end of the current billing period
  • Refunds: We do not offer prorated refunds for partial months. If you believe a charge was made in error, contact us within 30 days and we will review it

8. Data & Privacy

Your use of Partsemble is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • Your data is yours. We do not claim ownership of the business data you input into Partsemble.
  • Data backup: While we take reasonable precautions, you are responsible for maintaining your own backups of critical business data. We recommend exporting your data periodically.
  • Data on cancellation: If you cancel, we will retain your data for 30 days, after which it may be deleted. Contact us if you need an export before deletion.

9. Disclaimers

Partsemble is provided “as is” and “as available” without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including:

  • Fitness for a particular purpose
  • Merchantability
  • Non-infringement
  • Uninterrupted or error-free service

You should independently verify any financial or inventory data before relying on it for business decisions.

10. Limitation of Liability

To the maximum extent permitted by law, BuildPath Systems, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses arising from:

  • Your use of or inability to use the service
  • Any errors, bugs, or inaccuracies in the service
  • Unauthorized access to or alteration of your data
  • Any other matter relating to the service

Our total liability for any claim arising out of or relating to these Terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. For significant changes, we will notify you by email or by posting a prominent notice in the app.

Continued use of Partsemble after changes take effect constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of Partsemble will be resolved in good faith. If we cannot reach resolution, disputes shall be subject to binding arbitration in accordance with applicable law.
